What is involved in share and purchase sales?

Heads of Terms

The Heads of Terms document is one of the first agreements the parties involved will agree on. Within this, the shares involved in the transfer, their price and any other mutually agreed on terms at this early stage will all be detailed.

Usually, Heads of Terms are not legally binding as they are created early in the process, but this has to be stated within the document. Along with this statement, other exemptions, such as a 'lock-out' clause, can also be included.
